To access LeverEdge, you must register for an account and provide accurate, current, and complete information.

You are solely responsible for maintaining the confidentiality of your account credentials (username and password) and for all activities that occur under your account. You agree to notify Ricavvo immediately of any unauthorized use of your account or any other breach of security.

Each individual is permitted to register only one email account with LeverEdge. Account sharing is strictly prohibited; only one person may use each registered account.

Ricavvo reserves the right to cancel any account at any time, for any reason, at its sole discretion. If Ricavvo cancels a paid subscription without cause, a prorated refund will be issued for any prepaid but unused portion of the subscription period.

Ricavvo offers a 14-day free trial of LeverEdge. At the conclusion of the trial period, your account will automatically convert to a paid subscription plan unless you cancel your subscription before the trial ends.

LeverEdge is offered on a subscription basis, with payment due in advance.

Monthly Subscription: Automatically renews each month until canceled by you.

Annual Subscription (when available): Automatically renews each year until canceled by you.

All payments for the Service are processed through Stripe, our third-party payment processor. By providing your payment information, you authorize Ricavvo to charge your designated payment method for all subscriptions you maintain.

Except as explicitly stated in Section 3.4 regarding account termination by Ricavvo, Ricavvo does not offer refunds for any subscription fees. Your sole remedy for dissatisfaction with the Service is to cancel your subscription. Upon cancellation, you will retain access to LeverEdge until the end of your current billing period.

You may cancel your subscription at any time through your account settings. Upon cancellation, your subscription will remain active until the end of the current billing period, after which it will terminate, and you will no longer be charged.

Your use of LeverEdge is subject to Ricavvo's Privacy Policy, which is incorporated by reference into these Terms. Please review the Privacy Policy to understand our practices regarding your data.

You acknowledge that LeverEdge processes sales data, which may include deal information, contact details, and other business-related information you provide to the Service.

Ricavvo implements commercially reasonable security measures designed to protect your data. However, no data transmission or storage system can be guaranteed to be 100% secure. Ricavvo cannot guarantee the absolute security of your data.

You agree that Ricavvo may access your data at any time for purposes including, but not limited to, maintenance, auditing usage, ensuring compliance with these Terms, or for any other reason Ricavvo deems appropriate in its sole discretion.

You agree to use LeverEdge only for lawful purposes and in strict accordance with these Terms.

You shall not, directly or indirectly:



• Use the Service to violate any applicable local, state, national, or international laws or regulations.
• Attempt to gain unauthorized access to LeverEdge, other user accounts, or its related systems or networks.
• Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
• Upload, transmit, or introduce any malicious code, viruses, or harmful software.
• Attempt to test the vulnerability of the Service's systems or networks.
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure, ideas, or algorithms of LeverEdge.
• Use insights or information derived from LeverEdge for the development or promotion of competitive products or services.
• Publish benchmark data or use LeverEdge for benchmarking or competitive analysis purposes without explicit written consent from Ricavvo.
• Attempt to customize LeverEdge or create unauthorized integrations with the Service.
• Share your account credentials or otherwise allow multiple individuals to access or use a single user account.

LeverEdge, including its proprietary methodology, algorithms, scoring framework, software, content, and all associated intellectual property rights, is and shall remain the exclusive property of Ricavvo, LLC.

These Terms grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes only. These Terms do not grant you any rights to use Ricavvo's trademarks, logos, domain names, or other brand features.

If you provide any feedback, comments, suggestions, or ideas regarding LeverEdge ("Feedback"), you grant Ricavvo a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, non-exclusive, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Feedback in any form, media, or technology, without any obligation or compensation to you.

No unauthorized integrations with LeverEdge are permitted. Only integrations specifically offered, configured, and approved by Ricavvo are allowed.

Customization or modification of LeverEdge is strictly prohibited unless explicitly authorized in writing by Ricavvo.

You grant Ricavvo permission to use anonymized and aggregated data derived from your use of LeverEdge to improve, operate, and enhance the Service. This data will not identify you personally.

Ricavvo may use deal information and interactions with LeverEdge to train and enhance its AI models, algorithms, and proprietary methodologies. Ricavvo will implement appropriate safeguards to protect confidential information during this process.

LeverEdge provides recommendations and probability assessments based on the information you provide. These are advisory in nature, and Ricavvo does not guarantee specific sales outcomes, increased revenue, or any particular business results. Final business decisions remain your sole responsibility.

To the maximum extent permitted by applicable law, Ricavvo shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses, resulting from:



• Your access to or use of, or inability to access or use, LeverEdge;
• Any conduct or content of any third party on the Service;
• Any content obtained from the Service; and
• Unauthorized access, use, or alteration of your transmissions or content.

In no event shall Ricavvo's total liability for any claims arising out of or relating to these Terms or your use of LeverEdge exceed the amounts paid by you to Ricavvo for the Service during the twelve (12) months immediately preceding the date the claim arose.

LeverEdge is provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Ricavvo does not warrant that:



• LeverEdge will meet your specific requirements or expectations.
• The Service will be uninterrupted, secure, or error-free.
• Any defects or errors will be corrected.
• The results that may be obtained from the use of the Service will be accurate or reliable.
• The quality of any products, services, information, or other material purchased or obtained by you through the Service will meet your expectations.

These Terms remain in effect until terminated by you or Ricavvo as described herein.

Ricavvo may terminate or suspend your access to LeverEdge immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use LeverEdge will immediately cease. All provisions of these Terms which by their nature should survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability, shall survive termination.

Ricavvo reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use LeverEdge after any revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you are no longer authorized to use the Service.

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or LeverEdge shall be resolved exclusively in the state or federal courts located in North Carolina, United States.

You consent to the personal jurisdiction of such courts and waive any objection to the exercise of jurisdiction by such courts or to venue in such courts.

These Terms constitute the entire agreement between you and Ricavvo regarding LeverEdge and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

Ricavvo's failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

You may not assign or transfer these Terms or your account without Ricavvo's prior written consent. Ricavvo may assign these Terms without restriction.
